Please review our operational and legal guidelines.
These Terms of Service govern your access to and use of truepharmusa.com and any purchase you make from it. The site is operated by X Master Trading LLC, doing business as TruePharm USA (“TruePharm USA,” “we,” “us,” “our”).
By accessing this site or placing an order, you agree to these Terms. If you do not agree, do not use the site.
Section 18 contains an arbitration agreement and a class action waiver that affect how disputes between you and us are resolved. Please read it carefully. You may opt out within 30 days.
To access this site or place an order you represent and warrant that:
We may refuse service, cancel an order, or restrict an account at our discretion where we believe these representations are inaccurate.
All products sold by TruePharm USA are intended exclusively for in-vitro laboratory research. They are not drugs, foods, cosmetics, dietary supplements, or medical devices.
Our products are not for human consumption, veterinary use, therapeutic application, diagnostic use, or any in-vivo administration of any kind. They have not been evaluated or approved by the U.S. Food and Drug Administration for any purpose.
Nothing on this site is medical advice. No statement on this site should be read as a claim that any product diagnoses, treats, cures, mitigates, or prevents any disease or condition.
By purchasing, you accept sole and exclusive responsibility for the lawful and appropriate use of any material you receive, and for compliance with all federal, state, and local laws governing its purchase, possession, use, and disposal.
You represent and warrant that you are a qualified researcher, or that you are affiliated with a laboratory, academic institution, university, or other research facility that lawfully conducts in-vitro research with the products you are ordering.
We may carry out reasonable screening to verify what you tell us. That may include asking for documentation of your affiliation, checking public registries, or contacting the institution you name. We may delay, condition, or refuse any order while that screening is pending.
A purchase made by a person who does not in fact hold the affiliation or qualification they represented, or who intends to use any product for any purpose other than lawful in-vitro research, is a fraudulent inducement of sale and a material breach of these Terms.
We maintain an internal refused sales list. We may add any person, payment method, shipping address, or email address associated with such a breach to that list, and every order is checked against it.
If anything you tell us gives us reasonable cause to believe you intend to use a product for any purpose other than lawful in-vitro research, we will cancel any pending order, refund the unfulfilled amount, and decline future orders. We will send a refusal of sale notice to the email address on your account.
You represent, warrant, and agree that you will comply with every federal, state, and local law and regulation that applies to your purchase, possession, handling, storage, use, and disposal of the products, including:
You are solely responsible for identifying the hazards of any product and for carrying out whatever further research you need in order to handle and dispose of it safely.
We do not supply safety data sheets, reconstitution instructions, dosing guidance, or administration guidance of any kind. You agree not to treat the absence of that information as any representation that a product is safe or suitable for any purpose.
You may not:
Your order is an offer to purchase. We accept it when we dispatch the products. We reserve the right to refuse, limit, or cancel any order for any lawful reason, including suspected fraud, resale for prohibited purposes, quantity limits, product unavailability, or pricing errors.
If we cancel an order after payment, we refund it in full.
All prices are in U.S. dollars and exclude applicable taxes and shipping, which are calculated at checkout. Prices are subject to change without notice.
Payment is due in full at the time of order. We do not store your full payment card details. Card data is transmitted directly to our payment processor and handled in accordance with applicable card network security standards.
If a product is listed at an incorrect price due to a system or typographical error, we may cancel the order and issue a full refund rather than fulfill it at the erroneous price.
If there is a problem with your order, contact us first at info@truepharmusa.com and give us a reasonable opportunity to put it right before you file a chargeback or payment dispute with your bank, card issuer, or payment processor. We answer every claim within two business days.
Filing a dispute without contacting us first is a material breach of these Terms.
You agree that a dispute filed in bad faith is fraud. That includes a dispute filed over a product that was in fact delivered, a dispute filed for a purchase the account holder made or authorized and later describes as unauthorized, and a dispute filed on a basis inconsistent with our Returns and Logistics policy.
Where a dispute is filed in bad faith, we may:
We retain order confirmations, delivery and tracking records, the research use acknowledgement recorded at entry, and all correspondence, and we submit them in response to any dispute.
We make reasonable efforts to describe products accurately, including compound identity, form, and quantity. Product images are representative and may not depict the exact packaging you receive.
We do not warrant that product descriptions, images, or any other content on the site are complete, current, or error-free.
Shipping is governed by our Shipping Policy. Returns, claims, and refunds are governed by our Returns & Logistics policy. Both are incorporated into these Terms by reference.
If you create an account you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate an account that violates these Terms.
Participation in TruePharm Rewards is voluntary. Points have no cash value, are not transferable, are not property, and expire if an account is closed or terminated. We may modify or discontinue the program at any time. Points earned on an order that is subsequently refunded will be reversed.
The site and its content, including text, images, logos, and design, are owned by or licensed to TruePharm USA and protected by intellectual property law. You may not reproduce, distribute, or create derivative works from it without our prior written consent.
Except as expressly stated in our Returns & Logistics policy, all products and site content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranty that any product is suitable for any particular research application. Determining suitability is your responsibility.
To the fullest extent permitted by law, TruePharm USA and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or business, arising from or relating to your use of the site or any product purchased from it.
Our total aggregate liability arising from or relating to any order, or to your use of the site, will not exceed the amount you paid for that order.
You acknowledge that the limitations in this section are a material basis of the agreement between us, and that we would not sell any product on these terms without them.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. Where that is the case, the above applies to the maximum extent permitted.
You agree to indemnify, defend, and hold harmless TruePharm USA and its officers, members, employees, and agents from any claim, liability, damage, loss, or expense, including reasonable attorneys’ fees, arising from your breach of these Terms, your misuse of any product, or your violation of any law or the rights of any third party. This includes any claim arising from administration of a product to a human or animal.
We are not liable for any failure or delay in performance caused by events outside our reasonable control. Those include natural disasters, epidemics, war, terrorism, civil unrest, strikes and other labor action, government action, embargoes, sanctions, customs holds, carrier delays, failures of the internet or of utilities, supply chain disruption, and shortages of materials or labor.
If an event of that kind prevents us from fulfilling an order, we will make reasonable efforts to resume promptly, and we will refund any amount you paid for a product we cannot deliver.
Read this section carefully. It requires most disputes between you and TruePharm USA to be resolved by individual arbitration rather than in court, and it waives your right to a jury trial and to take part in a class action. You may opt out within 30 days at no cost.
Before starting arbitration or any other formal proceeding, you agree to write to us at info@truepharmusa.com describing the dispute and the relief you are seeking, and to give us 60 days to resolve it. We agree to do the same before bringing any claim against you. Neither party may begin arbitration until that period has passed.
If the dispute is not resolved in that period, any dispute, claim, or controversy arising from or relating to these Terms, the site, any product, or any dealing between you and us, whether based in contract, tort, statute, fraud, misrepresentation, or any other theory, will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.
The arbitration will be conducted in English. You may take part by telephone or video, by written submission, or in person at the AAA location nearest your billing address. Either party may be represented by counsel. The arbitrator may award any relief a court could award to you individually, including statutory damages and attorney fees where a statute provides for them.
YOU AND TRUEPHARM USA EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.
If this waiver is held unenforceable as to any claim or remedy, that claim or remedy alone will be severed and heard in court, and every other claim will remain in arbitration.
Either party may bring an individual claim in small claims court if it qualifies there. Either party may go to court to protect intellectual property rights, or to seek temporary or preliminary injunctive relief to prevent imminent harm while arbitration is pending. Nothing in this section limits a California resident’s right to seek public injunctive relief.
You may opt out of this arbitration agreement. Send written notice to info@truepharmusa.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms, giving your full name, mailing address, email address, and a clear statement that you are opting out. Opting out is free, does not affect any other part of these Terms, and will not affect your ability to buy from us. If you opt out, Section 20 governs where disputes are heard.
Filing, administrative, and arbitrator fees are allocated under the AAA Consumer Arbitration Rules. If those rules would leave you responsible for fees greater than you would pay to file the same claim in court, we will pay the difference.
This section is governed by the Federal Arbitration Act, 9 U.S.C. sections 1 and following. The arbitrator, and not any court, has exclusive authority to decide any question about the interpretation, scope, or enforceability of this arbitration agreement, except that a court decides whether Section 18.3 is enforceable.
Any claim arising from or relating to these Terms, the site, or any product must be brought within two years after the claim first arose. A claim brought after that period is permanently barred. Where applicable law does not permit the limitations period to be shortened to two years, the shortest period that law allows will apply instead.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Terms or any order will be brought exclusively in the state courts located in Campbell County, Wyoming, or in the United States District Court for the District of Wyoming, and you consent to their jurisdiction.
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions remain in full force.
You may not assign or transfer these Terms, or any right or obligation under them, without our prior written consent. Any attempt to do so is void. We may assign these Terms in whole or in part without restriction and without notice to you.
We may suspend or close your account, cancel any pending order, and decline any future order at any time, with or without notice.
The following sections survive termination and continue to apply: 3 (Researcher Affiliation Warranty), 4 (Regulatory Compliance), 8 (Chargebacks and Payment Disputes), 10 (Shipping, Returns, and Refunds), 13 (Intellectual Property), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 18 (Dispute Resolution, Binding Arbitration, and Class Action Waiver), 19 (Limitation of Actions), 20 (Governing Law and Venue), and this section.
We may update these Terms at any time. The revised version takes effect when posted, and the “Last Updated” date above will reflect it. Your continued use of the site after a change constitutes acceptance. The Terms in effect at the time you place an order govern that order.
