These Terms of Service govern your access to and use of truepharmusa.com and any purchase you make from it. The site is operated by X Master Trading LLC, doing business as TruePharm USA (“TruePharm USA,” “we,” “us,” “our”).

By accessing this site or placing an order, you agree to these Terms. If you do not agree, do not use the site.

1. Eligibility

To access this site or place an order you represent and warrant that:

  • You are at least 21 years of age
  • You have the legal capacity to enter a binding contract
  • You are a qualified researcher, laboratory professional, or an authorized representative of a research institution
  • You are ordering solely for in-vitro laboratory research purposes
  • You are equipped to handle, store, and dispose of research chemicals safely and in accordance with applicable law

We may refuse service, cancel an order, or restrict an account at our discretion where we believe these representations are inaccurate.

2. Research Use Only

All products sold by TruePharm USA are intended exclusively for in-vitro laboratory research. They are not drugs, foods, cosmetics, dietary supplements, or medical devices.

Our products are not for human consumption, veterinary use, therapeutic application, diagnostic use, or any in-vivo administration of any kind. They have not been evaluated or approved by the U.S. Food and Drug Administration for any purpose.

Nothing on this site is medical advice. No statement on this site should be read as a claim that any product diagnoses, treats, cures, mitigates, or prevents any disease or condition.

By purchasing, you accept sole and exclusive responsibility for the lawful and appropriate use of any material you receive, and for compliance with all federal, state, and local laws governing its purchase, possession, use, and disposal.

3. Prohibited Uses

You may not:

  • Administer any product to a human or animal, or supply it to another person for that purpose
  • Resell, redistribute, or repackage any product for human or veterinary consumption
  • Represent any product as approved, safe, or intended for human use
  • Request dosing, administration, reconstitution ratios, or protocol guidance from us. We cannot and will not provide it, and such requests will not be answered
  • Use the site for any unlawful purpose, or in violation of these Terms

4. Orders and Acceptance

Your order is an offer to purchase. We accept it when we dispatch the products. We reserve the right to refuse, limit, or cancel any order for any lawful reason, including suspected fraud, resale for prohibited purposes, quantity limits, product unavailability, or pricing errors.

If we cancel an order after payment, we refund it in full.

5. Pricing and Payment

All prices are in U.S. dollars and exclude applicable taxes and shipping, which are calculated at checkout. Prices are subject to change without notice.

Payment is due in full at the time of order. We do not store your full payment card details. Card data is transmitted directly to our payment processor and handled in accordance with applicable card network security standards.

If a product is listed at an incorrect price due to a system or typographical error, we may cancel the order and issue a full refund rather than fulfill it at the erroneous price.

6. Product Information

We make reasonable efforts to describe products accurately, including compound identity, form, and quantity. Product images are representative and may not depict the exact packaging you receive.

We do not warrant that product descriptions, images, or any other content on the site are complete, current, or error-free.

7. Shipping, Returns, and Refunds

Shipping is governed by our Shipping Policy. Returns, claims, and refunds are governed by our Returns & Logistics policy. Both are incorporated into these Terms by reference.

8. Accounts

If you create an account you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate an account that violates these Terms.

9. Rewards Program

Participation in TruePharm Rewards is voluntary. Points have no cash value, are not transferable, are not property, and expire if an account is closed or terminated. We may modify or discontinue the program at any time. Points earned on an order that is subsequently refunded will be reversed.

10. Intellectual Property

The site and its content, including text, images, logos, and design, are owned by or licensed to TruePharm USA and protected by intellectual property law. You may not reproduce, distribute, or create derivative works from it without our prior written consent.

11. Disclaimer of Warranties

Except as expressly stated in our Returns & Logistics policy, all products and site content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that any product is suitable for any particular research application. Determining suitability is your responsibility.

12. Limitation of Liability

To the fullest extent permitted by law, TruePharm USA and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or business, arising from or relating to your use of the site or any product purchased from it.

Our total aggregate liability arising from or relating to any order will not exceed the amount you paid for that order.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. Where that is the case, the above applies to the maximum extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless TruePharm USA and its officers, members, employees, and agents from any claim, liability, damage, loss, or expense, including reasonable attorneys’ fees, arising from your breach of these Terms, your misuse of any product, or your violation of any law or the rights of any third party. This includes any claim arising from administration of a product to a human or animal.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Terms or any order will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.

15. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions remain in full force.

16. Changes to These Terms

We may update these Terms at any time. The revised version takes effect when posted, and the “Last Updated” date above will reflect it. Your continued use of the site after a change constitutes acceptance. The Terms in effect at the time you place an order govern that order.
